NOTICE: Registering as a user of the “Legal Shelf” application (“Legal Shelf”), owned and operated by TECNOLOGÍA LS, S. de R.L. de C.V. (“TECNOLOGÍA LS”), means that you, as an authorized user (the “User”), accept the following Terms and Conditions. Please read them carefully before registering and using Legal Shelf.
TECNOLOGÍA LS developed Legal Shelf, a cross-platform technology platform for securely and controllably classifying, storing, accessing, managing and executing documents through digital signatures. Client-owned documents are digitized and organized into digital libraries accessible from electronic devices, including smartphones, tablets and desktop or laptop computers, operating in iOS or Android environments.
Access credentials
TECNOLOGÍA LS may (1) provide a username and password to a client-authorized user or (2) designate an “Administrator” within the client’s organization to create accounts with access to its library.
Under the first option, the client’s representative identifies the users authorized to access Legal Shelf and determines each user’s permissions under the client’s responsibility.
Under the second option, the client’s representative identifies the Administrators authorized to access Legal Shelf and determines each user’s permissions under the client’s responsibility.
Permissions may cover client information and records as follows: (i) administrators, for user creation and document management; (ii) users, for accessing and sharing; or (iii) guests and signatories, for accessing information.
Each client is responsible for authorizing users. Each user is responsible for use of their password to access Legal Shelf, releasing TECNOLOGÍA LS from liability for disclosure of client information resulting from misuse of that password.
If a user forgets their password, they must securely reset access through the Legal Shelf site. The system sends a link to the registered email address so the user can create a new password.
Users may never share their username and password; access is personal and unique.
TECNOLOGÍA LS responsibilities
TECNOLOGÍA LS has the technological tools needed to operate the application correctly and to protect, back up, store and preserve the information and documents held in Legal Shelf securely. TECNOLOGÍA LS is not responsible for the content or scope of those documents, or for their use or processing by users authorized by the client. The client also undertakes to indemnify and hold harmless TECNOLOGÍA LS, its affiliates, subsidiaries, related companies, partners, agents, directors, employees, promoters and representatives against claims arising from improper use or disclosure, alteration or modification of information or documents held in Legal Shelf by users or third parties.
TECNOLOGÍA LS, its affiliates, subsidiaries, related companies, partners, agents, directors, employees, promoters and representatives undertake not to provide, disclose or permit access in any form to the information or documents in the client’s Legal Shelf digital library by third parties or persons not authorized by the client.
When registering its own users, the client must verify their credentials and authorizations for accessing, viewing, storing or disclosing the information and documents held in Legal Shelf.
Notifications
The client and users agree to receive email notifications from TECNOLOGÍA LS regarding changes to these Terms and Conditions, their Legal Shelf access credentials or permissions, or other matters. They agree that electronic notifications from TECNOLOGÍA LS have full legal effect. These Terms and Conditions and, where applicable, the services agreement between TECNOLOGÍA LS and the client constitute the entire agreement between the client, authorized user and TECNOLOGÍA LS regarding use of Legal Shelf, superseding previous or current agreements on the same subject. TECNOLOGÍA LS may modify these Terms and Conditions at any time; the client accepts modifications by continuing to use Legal Shelf after receiving notice of the change.
The client, User and TECNOLOGÍA LS agree that these Terms and Conditions are subject to the applicable laws and competent courts of Mexico City, waiving any jurisdiction that might otherwise apply by reason of their present or future addresses or any other cause.
As an authorized User, I have read, understood and accepted these Terms and Conditions for using Legal Shelf.
